Orion Acquisition Corp. was a blank check company, also known as a SPAC, sponsored by an affiliate of Orion Resource Partners. The company was incorporated in Delaware and completed its Initial Public Offering (IPO) on March 2, 2021, listing on the New York Stock Exchange under the ticker "OHPA". Its mission was to raise capital to acquire a company operating in the broad metals and mining, minerals, and decarbonization sectors. In July 2021, Orion announced a definitive business combination agreement with Heliogen, Inc., a provider of AI-enabled concentrated solar power. The merger was successfully completed in December 2021, and the combined entity began trading on the NYSE as "Heliogen, Inc." under the ticker "HLGN". Following the merger, Orion Acquisition Corp. ceased to exist as an independent, publicly-traded entity.
