Ceres Acquisition Corp. was a publicly-traded special purpose acquisition company (SPAC) co-founded by music executive Scooter Braun and led by CEO Joe Crouthers. The company completed its initial public offering in March 2021, raising capital to acquire a business primarily within the cannabis industry and related sectors. In 2021, Ceres announced a definitive agreement to merge with Parallel, a vertically-integrated, multi-state cannabis operator. However, the merger was mutually terminated in late 2021. Having failed to complete a business combination within the timeframe permitted by its articles of incorporation, the company announced its intention to dissolve and liquidate in early 2023, returning its capital to shareholders.
