First Busey Capital Trust is a newly formed subsidiary of First Busey Corporation. Upon issuance of the preferred securities offered by this prospectus, the purchasers in this offering will own all of the issued and outstanding preferred securities of First Busey Capital Trust. In exchange for their capital contribution to First Busey Capital Trust, they will own all of the common securities of First Busey Capital Trust. First Busey Capital Trust exists exclusively for the following purposes: - issuing and selling the preferred securities to the public for cash; - issuing and selling the common securities to them.
